These Terms and Conditions govern your use of the "Submit a Recipe" form on the Walmart.com (“Walmart and/or Walmart.com”, as referenced throughout the website (“Site”)). These Terms and Conditions are applicable in addition to the Terms of Use and Privacy Policy for the Walmart.com website. To the extent of any conflict between the Walmart.com Terms of Use and these Submit a Recipe Terms and Conditions, the Walmart.com Terms of Use shall control.

You understand that you will not receive compensation of any kind for your recipes, tips, suggestions or photographs (“Content”). Walmart will use its own discretion in posting submitted recipes, and is under no obligation to post every recipe submitted. Any recipes submitted, whether posted or rejected, will not be returned. When submitting a recipe, you agree not to identify any particular brand name of a product, and agree that all products will be referenced generically.

By submitting any Content to Walmart, you represent and warrant that:

• you are the sole author and owner of the intellectual property rights thereto;
• you are at least 18 years old or if you are under the age of 18, you are at least 13 years old and your submission has been made under the supervision of a parent or legal guardian who agrees to be bound by these Terms and Conditions; and
• use of the Content you supply does not violate these Terms and Conditions and will not cause injury to any person or entity.

You further represent and warrant that you shall not submit any Content:

• that is known by you to be false, inaccurate or misleading;
• that infringes any third party's copyright, patent, trademark, trade secret or other proprietary rights or rights of publicity or privacy;
• that violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination or false advertising);
• that is, or may reasonably be considered to be, defamatory, libelous, hateful, racially or religiously biased or offensive, unlawfully threatening or unlawfully harassing to any individual, partnership or corporation;
• for which you were compensated or granted any consideration by any third party unless otherwise authorized by Walmart in writing;
• that includes any information that references other websites, addresses, email addresses, contact information or phone numbers; or
• that contains any computer viruses, worms or other potentially damaging computer programs or files.

You agree to indemnify and hold harmless Walmart and its affiliates, officers, directors, agents, subsidiaries, joint ventures, employees and third-party service providers, from all claims, demands, damages, costs and expenses of every kind and nature, known and unknown, including reasonable attorneys' fees, arising out of a (i) any Content submitted by you, (ii) your breach of these Terms and Conditions or (iii) your violation of any law or the rights of a third party.

For any Content that you submit, you grant Walmart a royalty-free, irrevocable, transferable right and license to use the Content however Walmart desires, including without limitation, to copy, delete in its entirety, adapt, publish all or any portion of the Content, translate, create derivative works from and/or sell and/or distribute such Content and/or incorporate such Content into any form, medium or technology throughout the world without compensation to you.

All Content that you submit may be used, or not used, in Walmart's sole discretion. Walmart reserves the right to deny, condense or delete any Content on the Walmart.com website in its sole discretion, including without limitation, Content that Walmart deems to violate applicable Content guidelines or any other provision of these Terms and Conditions or the Walmart.com Terms of Use. Once you hit Submit you will not have the ability to edit or delete any Content you have submitted; however, Walmart reserves the right to remove or to refuse to post any submission for any reason. You acknowledge that you, not Walmart, are responsible for the Contents of your submission. None of the Content that you submit shall be subject to any obligation of confidence on the part of Walmart, its agents, subsidiaries, affiliates, partners or third party service providers and their respective directors, officers and employees. If you include any personally identifiable information, such as your name, in any Content submitted, such personally identifiable information may be accessed by anyone that uses the Walmart.com website. You should not submit any information you wish to remain private.
